These Terms of Service are effective as of January 1, 2026. Please read them carefully before using our website or services.

Acceptance of Terms

By accessing or using the website located at dewintech.com (the "Site") or any services provided by Dewin Technology Pte. Ltd. ("Dewin," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.

If you do not agree to these Terms, you must immediately discontinue use of the Site and our services. Your continued use of the Site following the posting of any changes to these Terms constitutes your acceptance of those changes.

These Terms apply to all visitors, users, customers, and others who access or use the Site, regardless of whether they register for an account or submit a request for quotation.

Services Description

Dewin Technology Pte. Ltd. provides manufacturing sourcing, supply chain management, and custom parts production services, including but not limited to:

  • Custom metal parts manufacturing (stamping, bending, welding, die casting)
  • CNC machining and precision manufacturing
  • Plastic injection molding
  • Powder metallurgy (sintering)
  • Supplier sourcing and vetting in Vietnam and China
  • Quality control, inspection, and logistics management
  • Assembly and finished product manufacturing

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Eligibility

To use our services, you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from receiving our services under applicable laws
  • Represent a legitimate business entity or act as an authorized representative thereof

By using our Site or submitting a request, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the Site.

Account & Registration

Certain features of our Site may require you to submit contact information or register for an account. When you do so, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your information to keep it accurate and complete
  • Be responsible for maintaining the confidentiality of any credentials or access information
  • Accept responsibility for all activities that occur under your account or through your submitted information
  • Notify us immediately of any unauthorized use or suspected breach of security

We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or for any other reason.

Orders & Quotations

All quotations provided by Dewin are non-binding estimates based on information supplied by the customer at the time of inquiry. A formal purchase order or written agreement signed by both parties is required to constitute a binding contract.

By submitting an order or accepting a quotation, you agree that:

  • All technical drawings, specifications, and requirements provided are accurate and complete
  • You have the right to use and share any intellectual property contained in submitted materials
  • Changes to specifications after order confirmation may result in additional charges and revised lead times
  • Minimum order quantities (MOQ) apply as specified in the relevant quotation
  • Lead times are estimates and may vary due to production conditions, material availability, or force majeure events
  • Sample approval (if required) must be confirmed in writing before mass production commences

Dewin reserves the right to decline any order at its sole discretion, including orders that conflict with applicable laws, regulations, or our internal compliance policies.

Payment Terms

Payment terms are specified in each individual purchase order or commercial agreement. Unless otherwise agreed in writing:

  • A deposit (typically 30-50% of the total order value) is required before production commences
  • The remaining balance is due prior to shipment or as specified in the purchase agreement
  • All prices are quoted in United States Dollars (USD) unless otherwise stated
  • Prices do not include applicable taxes, duties, customs fees, or shipping costs unless explicitly stated
  • Late payments may incur interest charges as specified in the applicable agreement

We accept payment via bank wire transfer (T/T) and other methods as agreed upon in writing. Currency exchange risk is borne by the customer unless otherwise agreed.

Important: Dewin is not responsible for bank fees, intermediary charges, or currency conversion losses incurred during payment processing. Please verify all banking details through official channels before initiating any transfer.

Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, photographs, videos, data, and software, is the property of Dewin Technology Pte. Ltd. or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Site without prior written consent from Dewin, except as follows:

  • Your computer may temporarily store copies of materials incidental to normal browsing
  • You may print or download one copy of a reasonable number of pages for personal, non-commercial reference

Regarding customer-submitted intellectual property: you retain ownership of all drawings, designs, and specifications you submit to us. By submitting such materials, you grant Dewin a limited, non-exclusive license to use them solely for the purpose of fulfilling your order. We will not share your proprietary designs with third parties without your written consent.

Confidentiality

Both parties acknowledge that in the course of business discussions and transactions, each may disclose confidential information to the other. "Confidential Information" means any non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information.

Each party agrees to:

  • Hold the other party's Confidential Information in strict confidence
  • Use Confidential Information only for the purposes of fulfilling obligations under the applicable agreement
  • Not disclose Confidential Information to any third party without prior written consent
  • Take reasonable measures to protect the confidentiality of such information

Confidentiality obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party, or is required to be disclosed by law or court order.

Disclaimers

THE SITE AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Site will be uninterrupted, error-free, or free of viruses or other harmful components
  • Warranties regarding the accuracy, reliability, or completeness of any content on the Site
  • Warranties that defects will be corrected

Dewin does not warrant that the results obtained from using the services will be accurate or reliable. Any reliance you place on such information is strictly at your own risk.

Product images, descriptions, and specifications displayed on the Site are for illustrative purposes only. Actual products may vary due to manufacturing tolerances, material availability, and customization requirements.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEWIN TECHNOLOGY PTE. LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your transmissions or data
  • Damages resulting from any third-party conduct on or through the Site
  • Any other matter relating to the Site or services

Whether based on warranty, contract, tort (including negligence), product liability, or any other legal theory, and whether or not Dewin has been informed of the possibility of such damage.

In jurisdictions where the exclusion or limitation of liability for consequential or incidental damages is not permitted, our liability shall be limited to the maximum extent permitted by law. In all cases, Dewin's total aggregate liability shall not exceed the total amount paid by you to Dewin in the twelve (12) months preceding the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Dewin Technology Pte. Ltd. and its licensees, licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorneys' fees) arising from:

  • Your use of and access to the Site or services
  • Your violation of any term of these Terms
  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right
  • Any claim that your submitted materials, designs, or specifications caused damage to a third party
  • Your breach of any applicable laws, regulations, or export control requirements

This defense and indemnification obligation will survive these Terms and your use of the Site and services.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, the parties shall first attempt to resolve the matter through good-faith negotiation.

If the parties are unable to resolve the dispute through negotiation within thirty (30) days, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with its rules, which rules are deemed incorporated by reference into this clause. The seat of arbitration shall be Singapore. The language of arbitration shall be English.

Nothing in this section shall prevent either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make changes, we will update the "Effective Date" at the top of this page.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Site or services following the posting of revised Terms means that you accept and agree to the changes.

If we make material changes to these Terms, we will make reasonable efforts to provide notice through the Site or other appropriate means. However, we encourage you to review these Terms regularly to stay informed of any updates.

If you disagree with the revised Terms, you must stop using the Site and our services. Your continued use after the effective date of any changes constitutes your acceptance of the new Terms.
